The department

Skadden is one of the few large law firms with integrated CFIUS and corporate practices. We counsel clients worldwide — public and private companies, private equity funds, venture capital firms, and sovereign wealth and other government-related funds — on structuring and negotiating transactions to anticipate and address national security-related regulatory concerns in the earliest stages of transaction planning. Our London and Washington D.C. offices form an integrated team providing non-U.S. foreign investment screening advice (in addition to CFIUS advice) to clients across the globe, including purchasers, sellers, minority investors, financial institutions, private equity consortia and other institutional investors — in some of the largest and most complex international transactions.  The London team operates within the Corporate Group.

The Role

We are recruiting an associate to join our Corporate Group as a member of a team dedicated to coordinating non-U.S. foreign direct investment screening advice and reviews.

Person Specification

We are looking for one individual with 0 to 3 years' relevant post qualification experience in a top tier practice in the London market or experience in a similar common law jurisdiction.  Those with less or more relevant experience will be considered on their merits.  The role requires a candidate with excellent experience in servicing clients.  Excellent written communication and drafting skills are also required as well as the ability to demonstrate initiative.   They must also possess the willingness and skillset to take on a high degree of responsibility. A high level of academic achievement is also required.

The role will comprise (1) conducting foreign investment screening analysis; (2) coordinating multi-jurisdictional foreign investment screening filings, including working with local counsel where required; (3) preparing and submitting UK National Security and Investment Act notifications; and (4) advising on regulatory strategy in relation to national security filings in the context of transactions. 

The successful hire will likely have a background in foreign investment screening (either independently or in the context of an Antitrust practice), and will be part of the establishment of a dedicated foreign investment screening team.  Candidates with relevant foreign investment screening experience from national security advisory, government contracting and trade compliance teams will also be considered.
